Terms of Use

1. Acceptance of Terms

This document constitutes a binding agreement between Fadnex Marketing Agency ("Agency") and you ("User" or "Client"). By confirming a project, making a payment, or using our digital assets, you agree to be legally bound by these terms.

These terms override all prior verbal discussions or assumptions.

2. Intellectual Property Rights

All content, designs, and assets created by the Agency remain the property of the Agency until full payment is received. regarding the use of our assets:

• Users shall not resell, redistribute, or reuse Agency assets for third-party projects without written consent.
• Unauthorized use of our deliverables or brand materials will attract legal action.
• Editable source files (PSD, AI, Figma) are not included unless explicitly stated in the invoice.

3. Prohibited Conduct

Users and Clients agree to use our services and website for lawful purposes only. You must not:

• Provide false business details or forged documents.
• Use our deliverables for illegal, unethical, or misleading purposes.
• Initiate fraudulent payment disputes, chargebacks, or UPI reversals.
• Post false, defamatory, or malicious reviews against the Agency.

4. Limitation of Liability

The Agency provides services on an "as is" basis. We are not liable for:

• Indirect, incidental, or consequential damages (e.g., data loss, financial loss).
• Issues arising from third-party platforms (Meta, Google, Hosting Providers).
• Hacking, malware, or security breaches after project handover.
• Losses due to the Client's business decisions or pricing strategies.

5. Content & Data Accuracy

The User/Client is solely responsible for the accuracy and legality of the data they provide. The Agency is not responsible for consequences arising from false or misleading data submitted by the User.

6. Third-Party Services

Our services may integrate with third-party tools (e.g., Payment Gateways, Ad Platforms). The Agency is not responsible for:

• Platform outages or server crashes.
• Account suspensions or bans by Meta/Google.
• Copyright claims regarding third-party music or trends used in content.

7. Modifications to Terms

The Agency reserves the right to update these Terms of Use at any time. Updated terms published on our official channels shall be binding for all ongoing and future services.

8. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any disputes or legal proceedings shall be subject to the exclusive jurisdiction of the courts in the State of Gujarat.
